NON-COMPETE AND CONFIDENTIALITY AGREEMENT FOR AKL TEAM MEMBERS, AKL INDICATOR AND AKL 2.0 Effective Date: February 20th, 2025 By remaining in the AKL Team Discord server and accessing or using any of the information, resources, or indicators provided therein, you (hereinafter, “Member” or “You”) acknowledge that you have read, understood, and agree to the terms and conditions set forth below. If you do not agree to these terms, you must leave the AKL Team Discord server immediately. These conditions are subject to change.

    1. DEFINITIONS

    1. “AKL” or “Anticipated Key Levels Indicator”: Refers to the proprietary trading indicator and any of its associated concepts, strategies, or related materials created by Wadah Maki.

      1. “AKL Team”: Refers to the Discord community and its members (past, present, or future) who have access to the AKL Indicator or any related discussions, strategies, or resources.

      2. “Proprietary Information”: Includes, but is not limited to, the AKL Indicator itself (in any form), strategies, methodologies, source code (if shared), trade secrets, analyses, and any other confidential or proprietary materials, whether in written, electronic, or oral form, belonging to or developed by Wadah Maki

      3. “Non-Compete Period”: The duration of your membership within the AKL Team and upon expiration / end of your period of membership

    1. NON-COMPETE

    1. Direct and Indirect Competition: • You shall not use, replicate, or repurpose the AKL Indicator or any of its underlying concepts, strategies, or methodologies to create or promote any product, service, or indicator that competes directly or indirectly with the AKL Indicator or Wadah Maki during the Non-Compete Period. • You shall not create or market any indicator or tool that mimics or replicates the thought process, trading logic, or functionality of the AKL Indicator in a manner that competes with Wadah Maki.

      1. Merchandise and Indicator Access:

      • You shall not sell any merchandise, software, or indicator access to past or current AKL Team members in connection with the AKL Indicator or otherwise, unless you have obtained a written statement (text or contract) from Wadah Maki granting explicit permission or acceptance.

      1. Scope of Restriction:

      • This non-compete applies worldwide or to the fullest extent permissible under applicable law, given the global nature of the internet and the AKL Team’s digital platform.

    1. PROPRIETARY RIGHTS AND CONFIDENTIALITY

    1. Ownership: • All rights, title, and interest in and to the AKL Indicator, its modifications, and any additional strategies or versions (including any name changes or re-brands) remain the sole property of Wadah Maki.

      1. Confidentiality:

      • You acknowledge and agree that the AKL Indicator and related materials constitute Proprietary Information of Wadah Maki. • You agree to hold all Proprietary Information in strict confidence and not disclose, distribute, or share it with any third party without the express written consent of Wadah Maki.

      1. Strategies Subject to Change:

      • You understand and agree that the AKL Indicator strategies are subject to change or rebranding at Wadah Maki’s sole discretion. All terms and conditions in this Agreement will continue to apply to any such changes, updates, or rebranded versions of the AKL Indicator.

    1. ENFORCEMENT AND REMEDIES

    1. Injunctive Relief: • You agree that any breach or threatened breach of this Agreement by you may cause irreparable harm to Wadah Maki, for which damages would not be an adequate remedy, and entitles Wadah Maki to seek an injunction or other equitable relief to enforce this Agreement.

      1. Legal Fees and Costs:

      • In the event of a dispute arising out of or related to this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys’ fees, court costs, and any other expenses incurred in resolving or adjudicating the dispute.

      1. Severability:

      • If any provision of this Agreement is determined to be invalid or unenforceable by a court of competent jurisdiction, all other provisions shall remain in full force and effect.

      1. No Waiver:

      • Failure by Wadah Maki to enforce any provision of this Agreement shall not be deemed a waiver of that provision or any other provision of this Agreement.

    1. ACKNOWLEDGMENT AND ACCEPTANCE

    By remaining in the AKL Team Discord server and continuing to access or use the AKL Indicator, its strategies, or any related Proprietary Information, you acknowledge that you have read, understood, and agree to be bound by the above terms and conditions. If you do not agree, you must leave the server and discontinue any and all use of the AKL Indicator or related materials immediately.

  6. The trading algorithm is a proprietary piece of software designed to assist in making trading decisions. It is sold as a tool only and does not guarantee any particular outcome or profit from transactions. The purchaser must use their own discretion when making trading decisions and should not rely solely on the Software.

You also acknowledge that any violation of these terms may result in penalties, including but not limited to the loss and termination of your subscription, with no refunds issued. This applies to all members, including lifetime members.
